This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee" or "you") and Geodesic Robotics Inc. ("Geodesic," "we," or "us") governing your use of the Geodesic command-line interface, SDKs, agents, and any related software and documentation we make available (collectively, the "Software"). By downloading, installing, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
1.License Grant
Subject to your compliance with this Agreement and the Terms of Service, Geodesic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely to access and use the Services for your internal purposes.
2.Restrictions
You will not, and will not permit any third party to:
- copy, modify, translate, or create derivative works of the Software except as expressly permitted;
- reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
- rent, lease, lend, sell, sublicense, distribute, or otherwise make the Software available to any third party;
- remove, alter, or obscure any proprietary notices in the Software;
- use the Software to build a competing product or service, or benchmark it for that purpose without our written consent;
- use the Software in violation of applicable law or the acceptable-use provisions of the Terms of Service.
3.Reservation of Rights and Ownership
The Software is licensed, not sold. Geodesic and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly set out in this Agreement.
4.Open-Source Components
The Software may include third-party open-source components licensed under their own terms. Those terms govern your use of such components and, to the extent required, take precedence over this Agreement with respect to those components. Applicable notices, if any, are provided with the Software.
5.Updates
Geodesic may provide updates, upgrades, or patches to the Software. Such updates are governed by this Agreement unless accompanied by separate terms. We may require you to install updates to continue using the Software or Services.
6.Confidentiality
The Software, including its structure, organization, and any non-public interfaces, constitutes Geodesic's confidential information. You will not disclose it to third parties and will protect it using at least reasonable care.
7.Term and Termination
This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination, you must cease all use of the Software and delete all copies in your possession or control. Sections that by their nature should survive termination will survive.
8.Disclaimer of Warranties
The Software is provided "as is" and "as available," without warranty of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Geodesic does not warrant that the Software will be uninterrupted, error-free, or secure, or that it is suitable for any safety-critical, robotic, or production deployment. You are responsible for validating any output or behavior before relying on it.
9.Limitation of Liability
To the maximum extent permitted by law, Geodesic will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Software, even if advised of the possibility of such damages. Geodesic's total aggregate liability under this Agreement will not exceed one hundred U.S. dollars (US$100).
10.Export Compliance
You represent that you are not located in, and will not use or export the Software in violation of, any applicable export-control or sanctions laws, and that you are not on any government restricted-party list.
11.U.S. Government End Users
The Software is "commercial computer software" and "commercial computer software documentation." Government end users acquire only those rights set forth in this Agreement, consistent with FAR 12.212 and DFARS 227.7202, as applicable.
12.Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The dispute-resolution provisions of the Terms of Service apply to this Agreement.
13.Entire Agreement
This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and Geodesic regarding the Software and supersedes all prior understandings. If any provision is held unenforceable, the remaining provisions remain in effect.
