These Terms of Service ("Terms") govern your access to and use of the websites, GPU cloud workspaces, experiment tracking, and related services (collectively, the "Services") offered by Geodesic Robotics Inc. ("Geodesic," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1.Acceptance of the Terms
By creating an account, installing our command-line tools, or otherwise accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and End User License Agreement, each incorporated by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
2.Definitions
- "Account" means the account you register to access the Services.
- "Content" means any code, data, models, configurations, prompts, checkpoints, logs, and other materials you submit to, generate with, or store on the Services.
- "Compute" means GPU and CPU resources, workspaces, and jobs made available through the Services.
- "Third-Party Services" means services not operated by Geodesic that you connect to or use through the Services, including Weights & Biases and underlying cloud infrastructure providers.
3.Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your credentials, API tokens, and SSH keys, and for all activity that occurs under your Account. Notify us promptly at legal@geodesicos.com of any unauthorized use.
4.The Services
The Services provide browser-accessible GPU workspaces, job submission, experiment tracking, fleets, and related tooling for developing and evaluating physical-AI and robotics workloads. We may add, modify, suspend, or discontinue any part of the Services at any time. Certain features may be offered as beta, preview, or experimental and are provided "as is" without any warranty or service commitment.
5.Acceptable Use
You agree not to, and not to permit any third party to:
- use the Services in violation of any applicable law, regulation, or export control;
- upload or process content that infringes intellectual property or privacy rights, or that is unlawful, harmful, or malicious;
- attempt to gain unauthorized access to the Services, other accounts, or underlying infrastructure, or to probe, scan, or test the vulnerability of any system;
- use the Compute for cryptocurrency mining, denial-of-service activity, unlawful surveillance, or the development of weapons or other unlawful applications;
- resell, sublicense, or provide the Services to third parties except as expressly permitted;
- interfere with or disrupt the integrity or performance of the Services, or circumvent usage limits, metering, or security controls.
We may suspend or terminate access for conduct that we reasonably believe violates these Terms or creates risk or liability for Geodesic or others.
6.Fees, Compute Hours, and Billing
Paid features are billed according to the plan or usage-based pricing presented to you at sign-up or in your dashboard. Compute is metered by wall-clock usage; running workspaces and jobs consume hours until terminated. You are responsible for terminating resources you no longer need. Except as required by law or expressly stated, fees are non-refundable. We may change pricing on prospective notice. You are responsible for all applicable taxes.
7.Content and Ownership of Data
As between you and Geodesic, you retain all rights in your Content. You grant Geodesic a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display your Content solely as necessary to operate, provide, secure, and improve the Services and to comply with law. You represent that you have all rights necessary to grant this license and that your Content does not violate these Terms.
8.Intellectual Property
The Services, including all software, interfaces, documentation, and trademarks, are owned by Geodesic or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you under these Terms and the EULA, no rights are granted to you. Feedback you provide may be used by Geodesic without restriction or obligation.
9.Third-Party Services
The Services integrate with Third-Party Services, including your Weights & Biases account for experiment records and cloud providers for Compute. Your use of Third-Party Services is governed by their terms and privacy policies. Geodesic is not responsible for Third-Party Services and disclaims liability arising from them. You authorize Geodesic to access and use credentials you provide solely to deliver the Services.
10.Beta and Preview Features
Features identified as beta, preview, experimental, or "early access" are provided for evaluation, may be changed or withdrawn at any time, may contain defects, and are excluded from any service-level or availability commitment. You use them at your own risk.
11.Disclaimers
The Services and all Compute, models, outputs, and materials are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Geodesic does not warrant that the Services will be uninterrupted, error-free, secure, or that outputs will be accurate or suitable for any physical, robotic, safety-critical, or production use. You are solely responsible for validating any output before relying on it.
12.Limitation of Liability
To the maximum extent permitted by law, Geodesic and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Services, even if advised of the possibility of such damages. Geodesic's total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amounts you paid to Geodesic for the Services in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
13.Indemnification
You will defend, indemnify, and hold harmless Geodesic and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Content, your use of the Services, or your violation of these Terms or applicable law.
14.Term and Termination
These Terms remain in effect while you use the Services. You may stop using the Services and close your Account at any time. We may suspend or terminate your access, with or without notice, for any violation of these Terms or to protect the Services. Upon termination, your right to use the Services ceases and we may delete your Content after a reasonable period, subject to legal retention obligations. Sections that by their nature should survive termination will survive.
15.Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms with a new "last updated" date or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
16.Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered under the rules of the American Arbitration Association, seated in Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information. You and Geodesic waive any right to a jury trial and agree that disputes will be resolved on an individual basis and not as a class action.
17.Miscellaneous
These Terms, together with the Privacy Policy and EULA, are the entire agreement between you and Geodesic regarding the Services and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
